I need a simple file management software should be web based and I can upload any kind of files to it and the files will be stored in file system or virtual directory and people can view uploaded files and download them and comments. Any recommendations.

Try Drupal with IMCE. That's about as specific as I can get without a lot more details about what sort of hardware you need or some other indication of requirements.

If you want everything to be stored in the web, why not let the software also be the web

Then would have many options

Google, Skydrive

etc
