Then google lightweight linux distros. You can probably find many under 500 MB. It will be much easier for you to find a linux distro that does what you want (and will be around when you want something else) than to find a piece of software that does exactly what you want.

I wouldn't use fat32 because it is not case sensitive. Both OSX and linux are. This can cause conflicts.
